1. Definitions

"Cognimorph Axis", "we", "us", "our" refers to the Cognimorph Axis ltd.

"Client", "you", "your" refers to any individual or organisation accessing our website, requesting services, or entering into a service agreement.

"Services" refers to all offerings provided by Cognimorph Axis including (but not limited to):

• AI/ML consulting
• Data analytics
• Cloud engineering and DevOps automation
• Software development
• System design and documentation
• Digital transformation consulting
• Any additional solutions provided through our platform

2. Acceptance of Terms

By accessing and using the Cognimorph Axis website or purchasing our services, you confirm that:

• You are at least 18 years old or legally authorised by your organisation
• You agree to comply with these Terms, our Privacy Policy, and any additional agreements (e.g., Service Agreements, SOWs, NDAs)
• We will update these Terms from time to time. Changes take effect upon publication

3. Scope of Services

Cognimorph Axis provides software and digital services including:

• Artificial intelligence and machine learning consulting
• Cloud architecture design and implementation
• Automation workflows and optimisation
• Website and application development
• Predictive analytics and data processing
• IT project planning, documentation, and technical writing
• Business digital transformation roadmaps
• Resource planning, technology strategy and integration

We reserve the right to modify, suspend, or discontinue any part of the Services offered without prior notice if not already in contract with client.

4. Website Use

Website visitors and users agree not to:

• Interfere with website functionality
• Attempt to gain unauthorised access to systems
• Use the website for unlawful, fraudulent, or harmful activity
• Copy, distribute, or exploit any content without permission

We may restrict access to the website temporarily or permanently for maintenance, updates, or security reasons.

5. Client Responsibilities

Clients engaging Cognimorph Axis for services agree to:

• Provide accurate, complete, and timely information
• Supply required access credentials securely
• Ensure that any data provided does not infringe third-party rights
• Act in compliance with applicable UK and international laws
• Review deliverables in accordance with the project timelines
• Maintain backups of their own data

Failure to meet responsibilities may delay project timelines or affect deliverables. Cognimorph Axis is not liable for such delays. More details included in individual client contracts.

6. Deliverables & Revisions

Unless otherwise stated in a contract or SOW (Statement of Work):

• Deliverables are provided based on the specifications agreed
• Reasonable revision rounds may be included
• Additional changes or scope expansions may incur additional fees
• Delivery timelines are estimates and may vary depending on client readiness, access, or external dependencies

7. Intellectual Property

7.1 Ownership

Unless explicitly stated otherwise, agreed in contract writing:

• All methodologies, frameworks, tools, scripts, documentation, and solution designs created by Cognimorph Axis remain our intellectual property
• Clients receive a licence to use the deliverables for their business operations only

7.2 Client Materials

• Clients retain ownership of all materials they provide
• Clients grant Cognimorph Axis a temporary licence to use such materials solely for delivering the contracted services

7.3 Restrictions

Clients may not resell, publish, or distribute Cognimorph Axis deliverables without written permission.

8. Indemnification

Clients agree to indemnify Cognimorph Axis against claims arising from misuse of services, violation of terms, or infringement of third-party rights.

9. Termination

Either party may terminate services with 30 days written notice. Immediate termination may occur for material breach. All payment obligations survive termination.

10. Governing Law

These terms are governed by applicable jurisdiction laws. Disputes will be resolved through binding arbitration in accordance with commercial arbitration rules.

11. Limitation of Liability

Cognimorph Axis's liability is limited to the amount paid for services. We are not liable for indirect, incidental, special, or consequential damages arising from service use.

12. Modifications

We reserve the right to modify these terms at any time. Continued use of services constitutes acceptance of modified terms.
